Huachen Automotive Group Holdings Company Limited 華晨汽車集團控股有限公司 ("Huachen") was established under the laws of the PRC on 16th September, 2002 as a PRC state-owned limited liability company. The principal activities of Huachen are investment holding, and manufacture and sale of Zhonghua sedans. It is a controlling shareholding of the Company.

Brilliance China Automotive Holdings Limited 華晨中國汽車控股有限公司 ("the Company") was established as an exempted company with limited liability under the laws of Bermuda on 9th June, 1992. Its shares are listed on The Stock Exchange of Hong Kong Limited. The Company's core businesses are the manufacture and sale of minibuses, sedans and automotive components in the PRC through its subsidiaries, associated companies and joint ventures. The Group's principal products include JinBei branded minibuses adapted from Toyota's Hiace minibus, Zhonghua sedans and 3-series and 5-series BMW sedans.

Shenyang XingYuanDong Automobile Component Co., Ltd. 瀋陽興遠東汽車零部件有限公司 ("Xing Yuan Dong") was established under the laws of the PRC on 12th October, 1998 as a direct wholly foreign-owned enterprise of the Company. It is principally engaged in the trading, development and manufacture of automotive components for RBJAC's minibus production. Xing Yuan Dong continuously strives to lower costs, increase the efficiency and commitment of the suppliers, streamline the component purchasing process and ensure a steady supply of high quality components for RBJAC.

Mianyang Brilliance Ruian Automotive Components Co. Ltd. 綿陽華晨瑞安汽車零部件有限公司 was established under the laws of the PRC on 3rd July, 2000 as a direct wholly foreign-owned enterprise of the Company to facilitate the trading and development of automotive components for Mianyang Xinchen. Beginning in 2001, it also began manufacturing automotive components for RBJAC.

Ningbo Brilliance Ruixing Auto Components Co. Ltd. 寧波華晨瑞興汽車零部件有限公司 was established under the laws of the PRC on 9th June, 2000 as a direct wholly foreign-owned enterprise of the Company to facilitate the trading and development of automotive components between Ningbo Yuming and RBJAC. Since 2001, it also began manufacturing automotive components for RBJAC.

Shenyang ChenFa Automobile Component Co., Ltd. 瀋陽晨發汽車零部件有限公司 was established under the laws of the PRC in June 2003 as a direct wholly owned subsidiary of the Company. Its principal activity is development, manufacture and sale of engines' components in China.

Shenyang Brilliance Dongxing Automotive Component Co., Ltd 瀋陽華晨東興汽車零部件有限公司 ("Dongxing Automotive") was established under the laws of the PRC on 17th March, 1999. It is principally engaged in the manufacture and development of automotive components for the use in passenger vehicles for RBJAC. Dongxing Automotive was entirely acquired by the Company in December 2001, through the acquisition of the entire equity interest of Key Choices Group Limited.

Ningbo Yuming Machinery Industrial Co., Ltd. 寧波裕民機械工業有限公司 ("Ningbo Yuming") was established under the laws of the PRC on 14th August, 1993 as an equity joint venture and is principally engaged in the manufacture of automobile window moulding, stripping and automotive components. The Company acquired a 51% indirect stake in Ningbo Yuming in 1998 as a significant step in the Group's continuing efforts to improve the quality and reduce the costs of minibus and underlying components. Subsequently in October 2004, the Company further acquired the remaining 49% indirect stake in Ningbo Yuming.

Shenyang Jindong Development Co., Ltd. 瀋陽金東實業發展有限公司 was established on 18th April, 2002. It is beneficially owned as to 100% indirectly by the Company. Its principal activity is the trading of automotive components in China.

Shanghai Hidea Auto Design Co., Ltd. 上海漢風汽車設計有限公司 was established on 16th April, 2004. Currently, it is beneficially owned as to 100% indirectly by the Company. Its principal activity is the design and development of automobile and provision of consulting services in relation to the Chinese automotive industry.

Shenyang Aerospace Mitsubishi Motors Engine Manufacturing Co., Ltd. 瀋陽航天三菱汽車發動機製造有限公司 ("Shenyang Aerospace") was established under the laws of the PRC on 12th August, 1997 as an equity joint venture and is currently beneficially owned as to 21% indirectly by the Company. Shenyang Aerospace was formed for the purpose of the manufacture and sale of 2.0-liter, 122 horsepower and 2.4-liter, 130 horsepower Mitsubishi gasoline engines. Shenyang Automotive uses these engines in its deluxe minibuses and in the Zhonghua sedans. In addition, Shenyang Aerospace's engines are also sold domestically to other passenger vehicle producers.

Brilliance-BEA Auto Finance Co., Ltd. 華晨東亞汽車金融有限公司 ("BBAFC") is an auto finance joint venture in the PRC. It received final approval to commence business in the PRC on 7th April, 2015. BBAFC is a multi-brand service provider, and is owned as to 55% by the Company, 22.5% by Bank of East Asia and 22.5% by CaixaBank, S.A. BBAFC initially focuses on supporting the Group's sales of its minibus and MPVs and our major shareholder Huachen's sedan products. In December 2016, BBAFC expanded its business by establishing white label financial services partnership with Jaguar Land Rover in China.

BMW Brilliance Automotive Ltd. 華晨寶馬汽車有限公司 ("BMW Joint Venture") was established under the laws of the PRC on 22nd May, 2003. Currently, BMW Joint Venture is beneficially owned as to 25% indirectly by the Company. BMW joint venture is for a term of 15 years starting from 22nd May, 2003, the date of the joint venture's business licence, which may be extended by mutual consent of the parties to the joint venture. The business scope of the joint venture is to assemble, produce and sell the latest version of BMW-designed and branded passenger cars, engines, parts and components, to provide after-sales service (including repair and maintenance and spare parts) relating to its products. The Joint Venture contract has been extended to 2028.
